Description
The case describes the start-up and development of a company backed by venture capitalists and a corporate shareholder. When the company acquires a competitor, differences in objectives between the venture capital shareholders and the corporate shareholder begin to surface and are exacerbated when the lead venture capital investor ultimately wants to sell the company. It also provides insights into the impact of legal documents in venture capital financings.
This case is a new version of the case Indentia International, E-198-E and E-199-E from the same author.
Learning Objective
This case provides striking examples of how differing objectives among shareholders can affect the development and ultimately the value of everyone's shares (including management's shares).
