TERMS AND CONDITIONS OF CONTRACT

 

1. SCOPE OF THE CONTRACT

 

1.1. Scope of the Contract
These Terms and Conditions of Contract apply to all commercial transactions made through the virtual store of IESE PUBLISHING, located on the website www.iesepublishing.com, with students, faculty members, partners, individuals, professionals, companies, consumers, users or any other final recipient (hereinafter, THE USER).

 

1.2. Details of the Service Provider
The domain www.iesepublishing.com and the trademark IESE PUBLISHING are owned by IESE (hereinafter, IESE PUBLISHING), with Tax Code (CIF) R-3168001J, and registered address at Av. Pearson 21, 08034, Barcelona (Spain).

 

1.3. Acceptance of these Terms and Conditions of Contract
The use by THE USER of the services of the IESE PUBLISHING store implies, in any case, adherence to the Terms and Conditions of Contract in the version published by IESE PUBLISHING when sending the order request, which is available to customers on the website. Therefore, THE USER should carefully read the Terms and Conditions before proceeding to make an order request. If THE USER checks the "I have read and accept the T&Cs" option at the checkout, it shall be considered that THE USER fully understands and accepts said terms and conditions. However, if THE USER does not accept these Terms and Conditions of Contract, the transaction shall be concluded and shall not entail the assumption of any type of obligation on the part of THE USER. Once an order request has been made through the website, THE USER shall receive an email confirming that the order request has been successfully sent. The confirmation of the Order Request shall be accompanied by a copy of these Terms and Conditions of Contract and the Withdrawal and Revocation document.

 

1.4. Content and Information Provided
IESE PUBLISHING reserves the right to modify at any time the items shown on the website (modifications of products, prices, promotions and other commercial and service conditions). IESE PUBLISHING strives to offer accurate information on its website without typographical errors. If an error of this type were to occur, at all times beyond the control of IESE PUBLISHING, it shall be corrected immediately.

 

 

2. TERMS AND CONDITIONS OF ORDER AND SERVICE

 

2.1. Payment Methods
Users may pay for their order by credit card (Visa or MasterCard) or PayPal. Payment will be made through PayPal's secure payment gateway. 

 

2.2. Document Delivery

Delivery will be made via download. At the end of the purchase process, our team will email you a link for downloading the documents acquired on your device. To view them, you need have a PDF file reader installed such as Adobe Acrobat Reader (https://get.adobe.com/reader). This link will be available for 30 days.

 

2.3 Restrictions on Use: Personal and Non-Transferable Use
Only personal and non-transferable use of the access codes to www.iesepublishing.com and downloaded files is allowed. THE USER is permitted to use, print out and store said content for strictly personal and non-commercial use. Upon accessing www.iesepublishing.com, THE USER agrees not to sell, publish, distribute (with the exception of copies purchased for educational use), retransmit or provide any access to www.iesepublishing.com or to the content downloaded from the website. 

THE USER agrees not to use www.iesepublishing.com and its content for any unlawful purposes. IESE PUBLISHING reserves the right to cancel the access of said user to www.iesepublishing.com, cancel their subscription, and/or initiate any legal proceedings deemed appropriate, at its own discretion, if it considers that fraudulent use thereof is occurring.

 

2. 4. Educational Use (Collective Use)

Distribution of materials for academic use is permitted as long as the copies needed for the course in question have been purchased. Such distribution may be done in print or using an intranet provided that the following conditions are met:

 

Usage Policies for Intranet Links (General)

-      Each student must access the intranet using a username and password.

-      Course materials must be posted and accessible only to the participants of the course in question.

-      The material must be re-purchased and posted for each new group of students/new course.

-      Username and password for IESE Publishing must be provided when requested.

-      The bottom of the Intranet page must state:

"The documents available on this website are copyrighted. You may not disseminate them electronically or in any other manner to third parties, publish them on other websites or intranets, nor modify or extract parts of them. You may print these documents exclusively for personal use."

 

 

In no case should you distribute documents acquired for academic use or post them on an intranet or any public website.

 

 2.5 Refunds and Return Policy
The IESE Publishing catalog consists of documents that are electronically delivered to the purchasing user. Each delivery is customized for the private use of that user (individual use) or for educational use (collective use) by a side marking that authorizes such use (in the case of PDFs) or by other electronic means (for the rest of products). Therefore, IESE Publishing does not accept returns and does not refund orders of documents. 

Likewise, the user who purchases materials must keep a copy of the file. Electronic document delivery ("Download") is a way of sending an order, not a product in itself. The legitimate use of the copy is the purchased and final product. For this reason, IESE Publishing cannot be held responsible for orders not saved at the time, or electronic files lost in case of hard disk formatting, equipment replacement, etc. 

 

2.6 Withdrawal

 

In accordance with Article 103.m of the Royal Decree 1/2007 of the Law for the Protection of Consumers and Users, the right of withdrawal cannot be applied to this contract given the hardware-free digital nature of the content.

 

2.7 Other Important Information

a) Minimum Purchase Requirement for Academic Institutions

If you have an academic institution profile, you will see that the system does not allow you to add less than five copies to the shopping cart. Please remember that to use lawful copies of the documents in class, you must purchase as many copies as the number of students who will be using the document in class.

b) Program Types

1. Degree Programs
These are programs that offer an official academic qualification. Examples: Bachelor, Master, MBA, Executive MBA, etc.

2. Non-Degree Programs
Executive education programs that do not offer an official degree. Examples: Management Development Programs, Seminars, Forums, Focus Groups, Conferences, Congresses, etc.

5. INDUSTRIAL AND INTELLECTUAL PROPERTY
THE USER acknowledges and agrees that all industrial and intellectual property rights of the content and/or any other elements on the Website (including but not limited to all elements which make up the visual appearance, graphic images and other sensory stimuli of the pages that make up the website, such as its ‘look and feel’, trademarks, logos, trade names, texts, reviews and comments, images, graphics, designs, sounds, databases, software, flow diagrams, presentation, browsing architecture, as well as the source codes of the web pages) belong to IESE, and/or third parties who have assigned their rights. For this purpose, Website shall be understood as all creations incorporated and conveyed by any tangible or intangible medium and/or format, known or unknown, subject to protection by the current intellectual and industrial property legislation. 

Users are exclusively authorized to view, print, download or temporarily store, either in whole or in part, the content and/or elements on the website or pages that comprise it solely for their personal, private and non-profit use, provided that the origin and/or author thereof is duly noted in all cases, and where appropriate, the copyright symbol and/or industrial property notes of its owners appear. 

Under no circumstances does access to the Website imply any authorization, waiver, transfer, license or assignment of all or part of such rights by their owners, unless expressly provided otherwise. These General Terms of Use for the Website do not in any way give Users any right to use, modify, exploit, reproduce, distribute or publicly broadcast the Website and/or its various content other than expressly provided herein. Any other use or exploitation of any rights shall be subject to prior and express authorization specifically granted for that purpose by IESE and/or third-party owners of the rights in question. 

The use of these elements is strictly prohibited, as well as their total or partial reproduction, communication and/or distribution for commercial or profit-making purposes, in addition to their modification, alteration, decompilation and/or any other use of the Website, its pages and/or the contents they include. Such conduct may lead IESE to exercise its legal rights through judicial or extrajudicial means. For any other use other than those expressly permitted, it shall be necessary to obtain prior written consent from the owner of the rights in question, where appropriate, using our form.

 

6. WARRANTY
The warranty period for the products sold by IESE PUBLISHING is two years for private users, as stipulated by the Royal Legislative Decree 1/2007 of November 16, which amends the Law for the Protection of Consumers and Users, and other complementary laws.

 

8. APPLICABLE LAW AND JURISDICTION
For the resolution of any disputes arising from this contract or legal act, the parties shall submit to the Consumer Arbitration Board of Catalonia, which is entrusted with the appointment of the arbitrator(s) and the administration of arbitration. If arbitration were not carried out by mutual agreement or declared void, or for the execution of the arbitration award, both parties agree to submit to the Courts and Tribunals of the city of Barcelona, with express waiver of their own jurisdiction.

 

9. VALIDITY AND EFFECTIVENESS OF THE ELECTRONICALLY-EXECUTED CONTRACT
This contract, executed electronically, shall have full validity and effect, producing all legal effects stipulated in the legal system pursuant to Title IV of Law 34/2002, of July 11, Law on Information Society Services and Electronic Commerce. The acknowledgment of receipt issued by IESE PUBLISHING, which may be issued electronically, shall confirm the execution of this contract and signing thereof by THE USER and IESE PUBLISHING, and this document shall be acceptable in court as documentary evidence, in accordance with the provisions of Article 24.2 of the aforementioned Law on Information Society Services and Electronic Commerce. 

The date of these terms and conditions shall be that of the attached invoice.
