A company's long-term development is the central objective of corporate governance. This article defines and analyzes the tasks of the CEO and members of the management committee, their relationships with the board of directors and the practical operation in the life of the company. The author analyzes the principles on which the relationship between the board of directors and the management committee should be based: balance between initiative and control, subsidiarity and transparency. The second part of the article delves into the two priorities of a good management committee: the development of the company's mission and the establishment of a strategy that embodies that mission. Finally, the article raises some basic criteria for the day-to-day running of the steering committee.
