ROADLAW Case (B): Manuel Binio, Partner
Three partners (two professional and one strictly financial) decide to establish a boutique law firm called ROADLAW that will focus on a particular sector, with two business areas: the pharmaceutical industry and restructuring. At first, everything seems to bode well for the future of the project. A draft partnership agreement is prepared but never formally concluded. When problems arise between the two professional partners, the situation becomes untenable, and one of them decides to abandon ship. However, he?s not about to leave empty-handed and considers various alternatives for his exit with the goal of negotiating the one that will be least financially damaging to him. But the other professional partner has a different perspective and doesn?t intend to make things easy for the one jumping ship. He?s also considering various scenarios and has the support of the financial partner.
